Terms of Use for the Affiliate Program

Agreement

By signing up to become an affiliate in the Majam Affiliate Program (“Program”), you agree to be bound by the following terms and conditions (“Terms of Use”).

Majam reserves the right to update and modify the Terms of Use from time to time without prior notice.

All new features that expand or enhance the current program, including the release of new tools and resources, are subject to the terms of use.

Your continued use of the program after such changes constitutes your consent to those changes. Violation of any of the terms below will result in the termination of your account and the forfeiture of any outstanding affiliate commission payments earned during the period of the violation. You agree to use the affiliate program at your own risk.

Requirements for Opening an Account

• You must be 18 years of age or older to participate in this program.

• You must live in France to be enrolled.

• You must be a human. Accounts created by “bots” or other automated methods are not permitted.

• You must provide your full legal name, a valid email address, and any other requested information in order to complete the registration process.

• Your connection may only be used by one person—a single connection shared by multiple people is not permitted.

• You are responsible for maintaining the security of your account and password. Majam cannot and will not be held liable for any loss or damage resulting from your failure to comply with this security obligation.

• You are responsible for all content posted and all activity that occurs under your account. No individual or legal entity may hold more than one account.

• You may not use the affiliate program for any illegal or unauthorized purposes.

• While using the Service, you must not violate the laws of your jurisdiction (including, but not limited to, copyright laws).

• You cannot use the affiliate program to earn money on your own Majam product accounts.

Links/graphics on your website, in your emails, or in other communications

Once you have signed up for the affiliate program, you will be assigned a unique affiliate code. You are authorized to place links, banners, or other graphics that we provide—which include your affiliate code—on your website, in your emails, or in other communications. We will provide you with guidelines, link styles, and graphic assets to use when creating links to Majam. We may modify the design of the materials at any time without notice, but we will not change the dimensions of the images without notice.

To enable accurate tracking, reporting, and the accumulation of referral fees, we will provide you with special link formats to use in all links between your site and Majam. You must ensure that each link between your site and Majam correctly uses these special link formats. Links to Majam placed on your site in accordance with this agreement and that correctly use these special link formats are referred to as “special links.” You will only earn referral fees for sales of a Majam product made directly through special links; we will not be liable to you in the event that you or anyone you refer fails to use special links or incorrectly enters your affiliate code, including to the extent that such failure may result in a reduction in the amounts that would otherwise be paid to you pursuant to this Agreement. Affiliate links must point to the product page being promoted

Affiliate Commissions and Payments

For a product sale to be eligible for a commission, the customer must click on a special link from your website, email, or other communications that leads to https://majam-couture.com and complete an order for a product during that session. We will only pay commissions on links that are automatically tracked and reported by our systems.

We will not pay commissions if someone claims to have made a purchase or claims to have entered a referral code if that action was not tracked by our system.

We can only pay commissions on business generated through properly formatted special links that have been automatically tracked by our systems.

We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive and questionable sales or marketing methods.

Registration as a Majam Affiliate

You may not issue any press releases regarding this agreement or your participation in the program; doing so may result in your termination from the program.

Furthermore, under no circumstances may you misrepresent or embellish the relationship between us and you, claim that you are developing our products, claim that you are part of Majam, or express or imply any relationship or affiliation between us and you or any other person or entity, except as expressly authorized by this Agreement (including by expressing or implying that we support, sponsor, endorse, or contribute to any charity or other organization).

You may not purchase products through your affiliate links for your own use. Such purchases may result (at our sole discretion) in the withholding of referral fees and/or the termination of this agreement.

Payment Schedule

Commissions are paid by bank transfer upon the affiliate's request. The request must be submitted by email along with an invoice, and the transfer will be made within 10 days of receipt of the email.

Customer Definition

Customers who purchase products through this program will be considered our customers. Accordingly, all of our rules, policies, and operating procedures regarding customer orders, customer service, and product sales will apply to these customers. We may modify our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold through this program in accordance with our own pricing policies. Product prices and availability may vary from time to time. Since price changes may affect the products you have listed on your website, you must not display product prices on your website. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.

Affiliate Responsibilities

You will be solely responsible for the development, operation, and maintenance of your website and all content that appears on it. For example, you will be solely responsible for:

• The technical operation of your site and all related equipment

• Ensure that the display of special links on your site does not violate any agreement between you and a third party (including, without limitation, any restrictions or requirements imposed by a third party that hosts your site)

• The accuracy, truthfulness, and relevance of the documents published on your site (including, but not limited to, all product-related documents and any information you include in or associate with special links)

• Ensure that the materials published on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy rights, or other personal or proprietary rights)

• Ensure that the content published on your website is not defamatory or otherwise illegal

• Ensure that your website accurately and adequately discloses—either through a privacy policy or otherwise—how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors, and may place or recognize cookies on visitors’ browsers.

Compliance with the Law

As a condition of your participation in the program, you agree that, while you are a participant in the program, you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, or other requirements of any government authority that has jurisdiction over you, whether such laws, etc., are in effect or come into effect later during the period in which you participate in the program. Without limiting the foregoing obligation, you agree that, as a condition of your participation in the program, you will comply with all applicable laws (federal, state, or otherwise) governing marketing emails, including, without limitation, the CAN-SPAM Act of 2003 and all other anti-spam laws.

Term of the Agreement and the Program

The term of this agreement will begin upon our acceptance of your program application and will end when terminated by either party.

Either you or we may terminate this agreement at any time, with or without cause, by providing the other party with written notice of termination. Upon termination of this Agreement for any reason, you will immediately cease using and remove from your site all links, as well as all of our trademarks, trade dress, and logos, and any other materials provided by us or on our behalf pursuant to this Agreement or in connection with the Program.

Majam reserves the right to terminate the program at any time. Upon termination of the program, Majam will pay out all accrued but unpaid earnings.

Termination

Majam, in its sole discretion, has the right to suspend or terminate your account and to deny any current or future use of the program, or any other Majam service, for any reason and at any time.

Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, as well as the forfeiture and relinquishment of any potential commissions or commissions payable to your Account if they were earned through fraud, illegal means, or overly aggressive and questionable sales or marketing methods.

Majam reserves the right to refuse service to anyone for any reason and at any time.

Relations Between the Parties

You and we are independent contractors, and nothing in this agreement will create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

You will have no authority to make or accept offers or representations on our behalf. You will not make any statements, whether on your website or otherwise, that would reasonably contradict anything in this section.

Limitation of Liability

We will not be liable for any indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising out of this Agreement or the Program, even if we have been advised of the possibility of such damages. Furthermore, our total liability arising out of this Agreement and the Program shall not exceed the total referral fees paid or payable under this Agreement.

Disclaimer

We make no express or implied warranties or representations regarding the Program or any product sold through the Program (including, without limitation, warranties of fitness for a particular purpose, merchantability, non-infringement, or any implied warranty arising from course of performance, course of dealing, or trade usage). Furthermore, we do not guarantee that Majam will operate uninterrupted or error-free, and we will not be liable for the consequences of any interruption or error.

Independent Investigation

You acknowledge that you have read this agreement and agree to all of its terms. You understand that we may at any time (directly or indirectly) solicit customer referrals under terms that may differ from those contained in this agreement or use similar websites that compete with yours. You have independently evaluated the advisability of participating in the Majam affiliate program and are not relying on any representation, warranty, or statement other than those set forth in this agreement.

Miscellaneous

This Agreement shall be governed by French law. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to this restriction, this Agreement is binding upon and enforceable against the parties and their respective successors and assigns. Our failure to require your strict compliance with any provision of this Agreement shall not constitute a waiver of our right to enforce such provision or any other provision of this Agreement at a later time.

Majam’s failure to exercise or enforce any right or provision of the Terms of Use does not constitute a waiver of that right or provision. The Terms of Use constitute the entire agreement between you and Majam and govern your use of the Service, superseding all prior agreements between you and Majam (including, but not limited to, all prior versions of the Terms of Use).
